Qapita unveils ESOP 2.0: an enhanced way to structure employee ownership via a Special Purpose Vehicle within a share plan. Built specifically for venture-backed companies with an entity in Singapore, ESOP 2.0 is designed to help startups reduce administrative complexity, optimize future tax benefits and build cap tables from day one. An improved version of the traditional ESOP structure, the Employee SPV has a direct stake in the company, while the ESOP pool is distributed among the participants within the Employee SPV. Structuring an ESOP under an SPV provides advantages, particularly for early-stage and growth-stage companies managing equity and investor relations during due diligence and fundraising rounds: 1 – Employees can hold shares of the SPV but their individual names would not be present on the cap table, which come in handy during fundraising. 2 – SPVs result in clean documentation and accurate data, making it easy to manage audits, board reviews, future fundraising rounds and potential liquidity events. 3 – ESOP compensation structure increases visibility on employee ownership amongst your workforce and stakeholders, all while consolidating shareholder names in a single SPV entity. This structure provides a right for employees to easily exercise their stock options, allowing them to become shareholders of the SPV. ↗
AssetMetrix releases new updates across three core sections of the LP Analytics suite: Benchmarking, Risk, and Forecasting. Additionally, the Portfolio Planner has been extended with new secondary transaction capabilities and usability enhancements for fund analysis. These enhancements are: 1 – The Benchmarking section has been completely revamped with a new navigation setup and an updated design to help users find important information quickly. 2 – The Risk section now includes two new risk measures: Expected Shortfall captures the average loss in the worst-case scenarios beyond the VaR threshold, giving a complete picture of tail-risk exposure. Cash Flow at Risk quantifies the potential shortfall in projected cash flows under adverse conditions. Both new KPIs are supported by full sub-component analysis. Risk can be broken down and examined across any combination of investments, strategies, regions, and vintages, making it possible to identify exactly where concentration is building rather than observing it only at the aggregate level. 3 – The Forecasting section has been rebuilt around a brand new overview dashboard. The dashboard brings together KPI developments, portfolio characteristics, remaining investment lifetimes, projected cash flows, and macro environment indicators into a single view. Additionally, detailed value tables are now available on every sub-page within the Forecasting section. These tables provide period-by-period projections for contributions, distributions, and net asset values. ↗
